1. Nature of Service (Advisory Only)

GridBase provides technical risk assessments, strategic governance advice, and architectural recommendations (“The Deliverables”).

The Provider is a technical governance firm, not a law firm. Any references to regulations are strictly limited to technical alignment strategies. Our reports do not constitute legal advice.

1.2 Client Responsibility

All final compliance decisions and regulatory filings must be ratified by the Client’s internal legal counsel.

2. Operational Protocol (Async-First)

By accessing this site or engaging our services, you agree to our strict operational protocols.

2.1 Asynchronous Default

To maintain audit trails and operational efficiency, all standard communications for engagements under $20,000 USD are conducted via our Encrypted Asynchronous Protocol.

2.2 Synchronous Threshold

Live consultation or real-time briefing sessions are reserved exclusively for Enterprise Tier engagements exceeding $20,000 USD.

2.3 Availability

The Provider operates on a 24-hour cycle. Responses are typically handled by the next business day.

3. The “Snapshot in Time” Liability Shield

All Deliverables represent a static assessment of the Client’s systems at the precise moment of testing.

3.1 No Future Liability

GridBase is explicitly NOT liable for security breaches, vulnerabilities, or regulatory non-compliance arising from:

  • System updates, code changes, or model retraining occurring after the assessment.
  • New zero-day vulnerabilities or attack vectors discovered post-delivery.

3.2 Evolving Threat Landscape

The Client acknowledges that AI security is adversarial. A “Secure” status today does not guarantee immunity against future attack methods.

4. No Guarantees or Warranties

Services are provided on a strict “Best-Effort” basis.

4.1 Non-Deterministic Nature

The Client acknowledges that Large Language Models (LLMs) are probabilistic. GridBase cannot guarantee that an AI model will never hallucinate or produce harmful content, even after hardening.

4.2 Zero-Indemnification

The Provider does not offer cybersecurity insurance. We are not liable for direct, indirect, or consequential damages resulting from the use of our services.

5. Jurisdiction & Dispute Resolution

5.1 Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of New Mexico, USA.

5.2 Limitation of Liability

To the maximum extent permitted by law, GridBase’s total liability shall be strictly limited to the total fees paid by the Client for the specific engagement in dispute.
